Terms of Service

By creating an account or using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

ModelCouncil is a decision support platform that enables users to query multiple AI models (including Claude, GPT, Gemini, and Grok) simultaneously against unified project context. The Service generates Decision Boards that synthesize model responses, highlighting consensus, disagreements, and unique insights to support informed decision-making.

1. Account Creation: You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.
2. Account Security: You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use.
3. One Account Per Person: Each individual may maintain only one account unless explicitly authorized by us.

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe on the intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service
• Use the Service to develop competing AI services
• Generate or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Circumvent any rate limits, usage restrictions, or security measures

1. Ownership: You retain ownership of all content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited license to use, process, and transmit that content solely to provide the Service to you.
2. Responsibility: You are solely responsible for your User Content and represent that you have all necessary rights to upload and use it.
3. Third-Party Processing: You acknowledge that User Content submitted as part of queries will be transmitted to third-party AI providers (Anthropic, OpenAI, Google, xAI) for processing. You are responsible for ensuring your use complies with any obligations you may have regarding the data you submit.

1. Nature of Output: The Service provides AI-generated analysis and recommendations. This output is intended to support, not replace, human decision-making.
2. No Guarantee of Accuracy: AI outputs may be inaccurate, incomplete, or inappropriate for your specific situation. You are responsible for evaluating and verifying any output before relying on it.
3. Not Professional Advice: The Service does not provide legal, financial, medical, or other professional advice. Consult appropriate professionals for such matters.

The Service, including its design, features, and content (excluding User Content), is owned by Latent Ventures LLC and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY DECISIONS MADE OR ACTIONS TAKEN BASED ON AI-GENERATED OUTPUT; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT; OR (D) ANY OTHER MATTER RELATING TO THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us. Sections 6-11 and 14-16 shall survive termination.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and changing the "Effective Date." Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and judgment on the award may be entered in any court having jurisdiction. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

• Entire Agreement: These Terms constitute the entire agreement between you and the Company regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms at any time.
